Welcome to Soul Trades! These Terms of Service govern your access to and use of soultradess.com and any other website or application operated by Soul Trades (collectively, the "Platform"). The Platform is owned and operated by Yiwu Maixun Import and Export Co., Ltd., trading as Soul Trades ("Soul Trades/we/us"). Please read these Terms carefully. By using our Platform, you accept and agree to these Terms. If you disagree, please do not use the Platform.

We reserve the right to update these Terms at any time. Changes take effect upon posting. Your continued use of the Platform after changes are posted constitutes acceptance of those changes.

1. ELIGIBILITY You must be at least 18 years old to access and use this Platform. By placing an order, you confirm that you are of legal age in your country and are purchasing for lawful business or personal purposes in accordance with the laws of your jurisdiction.

2. PLATFORM CONTENT
   All content on the Platform including text, graphics, photographs, images, product listings, and illustrations ("Content") is owned by Yiwu Maixun Import and Export Co., Ltd., its affiliates, or its content providers, and is protected by applicable intellectual property laws. You may view and download content for personal, informational, and non-commercial purposes only. You may not copy, reproduce, distribute, modify, or create derivative works from any content without our prior written permission. All rights not expressly granted remain reserved.

3. USER-GENERATED CONTENT
   Any content you submit through the Platform including reviews, comments, images, or other materials ("User Generated Content") is your sole responsibility. You must not post content that is false, offensive, unlawful, or infringes the rights of others. By submitting User Generated Content, you confirm that: you own or have the right to share that content; the content is accurate and does not violate any applicable law or these Terms; and you grant Soul Trades a non-exclusive, royalty-free licence to use, display, and reproduce that content in connection with the Platform. Soul Trades does not control User Generated Content and is not liable for any loss or damage arising from your reliance on it.

4. USER-GENERATED CONTENT - YOUR LICENCE TO US
   User Generated Content remains your intellectual property. By making User Generated Content available on the Platform, you grant Soul Trades a non-exclusive, perpetual, irrevocable, royalty-free, worldwide licence to use, reproduce, modify, adapt, publish, translate, distribute, and display that content in any form or medium. Soul Trades reserves the right to modify, condense, delete, or refuse to post any User Generated Content at its sole discretion. We are not obligated to keep User Generated Content confidential.

5. PRODUCTS & FEATURES
   All products, specifications, and prices on this Platform are subject to change without notice. Product descriptions, weights, and dimensions are approximate and provided for convenience. We make every effort to accurately display product attributes including colours; however, actual appearance may vary depending on your device display. The listing of any product does not guarantee its availability. It is your responsibility to comply with all applicable local and international laws regarding the purchase, import, and use of any item ordered through this Platform.

6. ACCURACY OF INFORMATION
   We strive to ensure all information on this Platform is complete, accurate, and current. However, information may occasionally be inaccurate, incomplete, or outdated. Products may be unavailable, have different attributes than listed, or carry a different price than stated. We reserve the right to make changes to pricing and availability without notice. Receipt of an order confirmation does not constitute our acceptance of an order or confirmation of a sale. We reserve the right to limit order quantities, refuse service, or require verification of information prior to accepting or dispatching any order.

7. SHIPPING AND RETURNS
   Orders will be shipped to the address provided by the buyer, subject to our shipping restrictions. All purchases are made pursuant to a shipment contract. Risk of loss and title pass to the buyer upon delivery to the freight forwarder or carrier. We are not responsible for returns lost in transit or not received at our warehouse. No refund will be issued for items not received. We reserve the right to limit returns and exchanges, including where fraudulent or abusive activity is suspected. If delivery is unsuccessful or refused due to an incorrect address provided by the buyer, we reserve the right to charge a restocking and reshipping fee. 8. COMMUNICATIONS & NOTIFICATIONS
   Soul Trades may contact you via email, WhatsApp, or other messaging platforms to provide order updates, transactional notifications, promotional offers, and customer service communications, using the contact details you provide at registration or checkout. By providing your contact details, you consent to receiving such communications. We are not responsible for delayed or undelivered messages due to network or carrier issues.

9. THIRD-PARTY LINKS
   This Platform may contain links to third-party websites not owned or controlled by Soul Trades. Such links are provided for convenience only. Soul Trades is not responsible for any content, information, or services on third-party websites and does not endorse them. You access any linked websites entirely at your own risk.

10. RESELLERS & PROHIBITED USE
    This Platform is intended for legitimate wholesale and B2B buyers. We reserve the right to cancel orders, refuse returns, close accounts, or take any other reasonable action if we determine, in our sole discretion, that purchases are being made for unauthorized resale or in violation of our policies. You agree not to post or transmit any content that is unlawful, threatening, defamatory, obscene, or otherwise harmful. You agree to comply with all applicable local and international laws in connection with your use of this Platform.

11. ACCESS & INTERFERENCE
    You agree not to use any automated means including robots, spiders, or scrapers to access the Platform without our express written permission. You further agree not to: impose an unreasonable load on our infrastructure; interfere with the proper functioning of the Platform; attempt to bypass any security or access controls; probe or test the vulnerability of the Platform or connected networks; or harvest or store information about other users of the Platform.

12. ACCOUNT SECURITY
    You are solely responsible for the security and confidentiality of your account credentials. You are responsible for all activities that occur under your account. 13. PAYMENT & FEES
    All charges for products and services will be billed via your selected payment method at checkout. If legal action is required to recover outstanding balances, you agree to reimburse Soul Trades for all associated costs including legal fees. You are responsible for all internet and telecommunications costs required to access this Platform.

14. FORCE MAJEURE
    Neither Soul Trades nor you shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to: acts of God, war, civil unrest, government actions, port or customs delays, power failures, natural disasters, labor disputes, supply chain disruptions, or any other event outside the affected party's reasonable control.

15. PRIVACY
    Your use of this Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference.

16. DISCLAIMER
    All information, products, and services provided through this Platform are offered "as is" without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose. Soul Trades does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or harmful components. We expressly disclaim all liability for product defects arising from misuse, modification, improper selection, or non-compliance with applicable regulations, to the fullest extent permitted by the laws of the People's Republic of China.

17. LIMITATION OF LIABILITY
    Your use of the Platform is at your own risk. To the fullest extent permitted by the laws of the People's Republic of China, Soul Trades, its officers, directors, employees, and agents shall not be liable for any indirect, special, punitive, incidental, or consequential damages including lost profits, lost data, or business interruption arising from your use of or inability to use this Platform or its content. In no event shall Soul Trades' total liability to you for all claims exceed the greater of (a) USD $50.00 or (b) the value of your purchase on the Platform. If you experience any issue with the Platform, your sole remedy is to cease using it. For product or service issues, your remedy is to seek a return or refund in accordance with our Return and Refund Policy.

18. APPLICABLE LAW & CONSUMER RIGHTS
    These Terms are governed by the laws of the People's Republic of China. Buyers in African countries are encouraged to be aware of and rely on applicable consumer protection laws in their respective jurisdictions. Nothing in these Terms is intended to limit any rights you may have under mandatory local consumer protection legislation.

19. INDEMNITY
    You agree to defend, indemnify, and hold Soul Trades and its affiliates harmless from any liabilities, costs, and expenses including reasonable legal fees arising from your violation of these Terms, your use of the Platform, or your infringement of any law or third-party rights.

20. RELEASE
    If you have a dispute with another user of the Platform, you release Soul Trades and its officers, directors, agents, and employees from all claims and damages of any kind arising out of or connected with such disputes.

21. TERMINATION
    Either party may suspend or terminate your account or access to the Platform at any time, for any reason. You remain personally liable for any orders placed or charges incurred prior to termination. Soul Trades may block your access if you breach these Terms, provide unverifiable information, or engage in activity that may cause financial loss or legal liability.

22. DISPUTES
    "Platform Disputes" include any claim by either party arising from the use of or access to this Platform, or any action to enforce or object to these Terms. Any claim arising from the purchase of a specific product or service is a separate matter and will be handled in accordance with our Return and Refund Policy and applicable law.

23. DISPUTE RESOLUTION

Governing Law: These Terms are governed exclusively by the laws of the People's Republic of China.

Jurisdiction: Any dispute that cannot be resolved informally shall be submitted to the competent courts of Yiwu City, Zhejiang Province, China, which shall have exclusive jurisdiction.

African Market Buyers: Buyers in African countries acknowledge that by purchasing through this Platform, they agree to resolve disputes under Chinese law and jurisdiction. Where mandatory consumer protection laws in your country of residence apply, those rights are not excluded by this clause.

Individual Claims Only: All disputes must be brought on an individual basis. You may not bring or participate in any class action or representative proceeding against Soul Trades. Claims of more than one buyer cannot be consolidated or litigated jointly without Soul Trades' written consent.

Confidentiality: All materials and documents exchanged during any dispute resolution process will be kept confidential to the fullest extent permitted by applicable law.

Time Limit: Any claim must be brought within one (1) year of the event giving rise to the claim, or it will be permanently barred.

1. GENERAL
   These Terms are governed by the laws of the People's Republic of China. Any dispute not resolved informally shall be subject to the exclusive jurisdiction of the competent courts of Yiwu City, Zhejiang Province, China. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. Soul Trades reserves the right to assign these Terms at its sole discretion. Our failure to act on a breach by you does not waive our right to act on subsequent or similar breaches. The following sections survive termination or expiration of these Terms: Section 4 (User Generated Content Licence), Section 10 (Prohibited Use), Section 16 (Disclaimer), Section 17 (Limitation of Liability), Section 19 (Indemnity), and Section 20 (Release). We do not guarantee continuous, uninterrupted, or secure access to the Platform, as its operation may be affected by factors outside our control.

2. INTELLECTUAL PROPERTY INFRINGEMENT NOTICE
   If you believe any material on this Platform infringes your intellectual property rights, please notify us with: identification of the copyrighted work claimed to have been infringed; identification of the infringing material with sufficient detail to locate it; a statement of good faith belief that the use is not authorised by the rights owner; a declaration that the information is accurate and that you are the rights owner or authorised to act on their behalf; your name, address, telephone number, and email address; and your physical or electronic signature. 3. HOT DEAL SALES
   These terms ("Hot Deal Terms") govern your participation in any Soul Trades Hot Deal event ("Hot Deal Event"). Hot Deal Events provide an opportunity to purchase limited-quantity or specially priced products ("Hot Deal Products") through the Platform for a defined period. Soul Trades reserves the right to modify these Hot Deal Terms and to cancel, modify, or suspend any Hot Deal Event at any time without prior notice.

26.1 Hot Deal - First Come, First Served Sale Period: Each Hot Deal Event begins and ends at the times published on the Platform. Products are available while supplies last. How to Participate: You must have a registered account on the Platform. During the Sale Period, complete your purchase through the standard checkout process. Orders are fulfilled on a first-come, first-served basis. Participation Rules: One purchase per account per Hot Deal Event unless otherwise stated. The use of automated tools, bots, or agents to place orders is strictly prohibited. Soul Trades reserves the right to cancel any order suspected of being placed through automated means. Soul Trades reserves the right to disqualify any participant found to be tampering with the ordering process or engaging in abusive conduct. Payment & Delivery: Standard payment and shipping terms apply. Shipping costs are calculated based on CBM and destination at the time of order. Returns: Hot Deal Products are final sale and are not eligible for returns or refunds unless a manufacturing defect is identified. See our Return and Refund Policy for details.

26.2 Hot Deal - Draw / Ballot Sale Sale Period: The Draw Sale begins and ends at the times published on the Platform. How to Participate: You must have a registered account. During the Sale Period, submit your entry with the required information to be entered into the draw. Selection: Participants will be selected at random after the Sale Period closes. You will be notified by email if selected. Payment & Delivery: If selected, your order will be processed using your saved payment method and shipped to your registered address. Standard CBM-based shipping rates apply. Returns: Hot Deal Products purchased through a Draw Sale are final sale and not eligible for returns or refunds unless a manufacturing defect is identified.

26.3 Hot Deal — Group Buy Sale Sale Period: The Group Buy Sale begins and ends at the times published on the Platform, or when the MOQ threshold is reached, whichever comes first. How to Participate: You must have a registered account. During the Sale Period, place your order to be counted toward the group buy threshold. Participation Rules: Orders are only confirmed and fulfilled once the MOQ threshold is reached. If the MOQ is not reached by the end of the Sale Period, orders will be cancelled and refunds issued. One order per account per Group Buy Event unless otherwise stated. Payment & Delivery: Payment is collected at the time of order. Fulfillment begins after MOQ confirmation. Standard CBM-based shipping rates apply. Returns: Group Buy Products are generally non-refundable once production has commenced. See our Return and Refund Policy for full details.

1. ENTIRE AGREEMENT
   These Terms constitute the entire agreement between you and Soul Trades and supersede any prior understandings or agreements, whether written or oral, relating to your use of the Platform.
